WBD Acquisition Thread

I have a feeling that surely PSKY will close many of WBD's channels after they fully close the merger.
That's what I do fear (a lot). A Nove, a Quest or a TVN might not make it (even if it would be real crazy closing Nove or TVN. But we're talking of Paramount, after closing Game One in France, they're able to close anything.)

the will be almost 80 billion in debt there is no doubt they will (and have many layoffs too) i still have hope that the state can do something though

You aren’t helping this situation and this forum has zero control with Ellison.

M&A isn’t end until ALL, I means ALL of regulators, including from other countries approve it. US alone isn’t enough, no matter about what crazy media outlet tell you.

You should take a break and there isn’t anything to help you in this kind of situation.

let's be honest at this point he's probably not going to listen many people have told him the same thing at nausea and he still continued to fear monger I say it's best for people to just put him in ignore

I said it once and I'll say it again if he keep this up he's going to get in trouble with the mods one day

I just got so scared about the DOJ approving that the EU and UK could also approve and fast track so Ellison can get his Q3 closure.

Not all countries regulate the same way. I personally don’t want a repeat of the Disney-Fox merger where a lot of businesses consolidate and dissolve. Sadly, Ellison might have his way and I have to concede to that. No use screaming about it anymore.

Anyway, Ellison will host a second private tribute event to thank Trump admin for yesterday's DOJ greenlight, meaning the D.C. brunch will also have him & Skydance executives popping champagne bottles with officials to celebate Trump's 80th birthday and the WH UFC event:

For months, Ellison and his father, technology tycoon Larry Ellison—a close Trump ally and confidant—have worked to ingratiate themselves with the transactional president, paving the way for the younger Ellison’s ascent as a 21st-century media mogul.

Of course, the approval did not come about by accident. The Ellisons have methodically worked to win over Trump, deploying a mix of public flattery and private outreach designed to convince him that a combined Paramount-Warner Bros. Discovery would serve his interests.

Behind the scenes, Larry Ellison leaned on his long-standing relationship with the president while David Ellison made repeated trips to Washington, privately assuring administration officials that CNN would undergo significant changes under new ownership, easing Trump’s long-standing animosity of the network.

Paramount hosted an intimate gathering this spring "honoring the Trump White House" as the merger remained under review.

Still, as Paramount executives prepare to pop champagne bottles with administration officials in the shadow of the UFC spectacle, the saga is not over.

The company is still awaiting regulatory approval in Europe, where authorities have set an initial July 14 deadline for a decision. Meanwhile, state attorneys general are preparing a significant challenge of their own."

 
Ellison won. Trump won. Expect a Q3 closure. It’s over. EU is likely to approve the deal and HBO Max will shut down for good. The WB name is no more. Sorry but we all lost this one. It’s a done deal and it won’t be undone by Bonta. Too late for us. We have to live like that.
 
It's not a done deal yet, @awinger24. And even if it is, there's no guarantee that things under the new Paramount–WBD merged corporation will be as bad as you make it out to be (even though there are some issues with the merger).

I think David Ellison is probably already smart enough not to overlook the Looney Tunes IP or mistreat it too much (and WBD is likely going to be managed as a separate entity from Paramount Global within the bigger merged Paramount–Warner entity). It's a safe, iconic and legendary franchise with decades' worth of unavoidable history, and has helped shape the present-day state of animation in a highly significant way.

Plus, Warner Bros. Pictures Animation already has multiple Looney Tunes projects coming up, and I personally expect Warner Bros. Animation (which is under the same Warner Bros. TV Group as the highly valuable Warner Bros. Television) to be working on even more Looney Tunes projects beyond Bugs Bunny Builders in the future.

The only real issue I could think of is that I don't think WBD in the U.S. has a dedicated kids & family division (whereas international divisions of WBD actually do), which I surmise likely stems from a series of layoffs of WarnerMedia-era staff members conducted by Warner Bros. Discovery following the WarnerMedia–Discovery, Inc. merger in 2022.

If anything, the Looney Tunes IP is nowhere near as threatened as some other much more recent lesser IPs. Looney Tunes is super resilient and has survived a lot of cruddy M&A moves in the past. Plus, it's an integral and unavoidable part of Warner Bros.'s history.

Yeah, it's important to note that they don't do it only for here but everywhere they possibly can because they've already done this on Reddit.

There's no benefit to conjuring up daily false overreactions and speedrunning to immediate conclusions for no coherent reason unless they get some kind of emotion stimulation reaction from it every time.

It isn't just unhealthy for them but it's also just exhausting for other people that might not want to put up with imaginitive falsehoods every minute of their life.
 
Your superior American democracy and independent institutions are really wonderful, my American friends. I used to feel ashamed of the undemocratic absurdities that happened in my country, but in a world where scoundrels like the Ellisons get everything they want so easily and through such ugly connections in politics, I think I will now feel less ashamed as a Eurasian towards my Western friends. Thanks for this.
 
Apparently, Trump's DOJ senior leadership did a pre-emptive overrule on the staff investigators scrutinizing Ellison's WarnerDiscovery pursuit. They said the incurred debt mountain wouldn't be a good reason to raise legal challenge and wanted to make things hard for the coalition of 10 state AGs to bring cases:

"The Justice Department’s senior leadership closed an investigation of Paramount’s bid for Warner Bros. Discovery before career staffers who were concerned about the acquisition had an opportunity to object, according to people familiar with the matter.

A team of career lawyers who had spent months scrutinizing the deal were leaning toward recommending a lawsuit challenging it on the grounds that the combination of the two movie studios would be anticompetitive and violate antitrust law, the people said.

The staff investigators hadn’t yet made a final recommendation—a typical step in the deal-review process—and were told Friday that the department would close the investigation, effectively clearing the deal at the federal level, some of the people said.

Among staffers’ questions was how the combined company could meet its commitment to make 30 theatrical releases a year, given its increased debt load.

The senior leaders allowed the inquiries but believed Paramount’s debt wasn’t a reason to challenge the merger, the people familiar with their thinking said.

No one on the investigative team spoke up to leadership voicing support for filing a lawsuit, they said.

On Friday, the department issued a long, supportive public statement about the merger, saying it would likely be good for competition, especially in the market for streaming video, in which Netflix and Amazon are major players. The statement also said the studio and distribution market has “extensive” competition that would probably continue even after Paramount acquires Warner.

Some staffers in the Justice Department’s antitrust division believe the statement was designed to make it harder for state attorneys general to challenge the deal in court, the people said. The investigative staff didn’t participate in writing the statement, the people said."


That being said, it's not impossible for state AGs to take debt into consideration through their own potential legal case:

"“The Ellisons’ haste to get their deal done by Trump has a lot of enemies,” an individual close to power players in Sacramento told Deadline after the June 12 sign-off by the federal DOJ. “They may think they’re home free, but that’s wishful thinking and not political reality.”"

 
Even if state AG’s sue, how could this awful merger be blocked?
