WBD Acquisition Thread

Not sure if it’s best for me to ask this here or in the WBD discussion thread but, Is the Netflix-WB merger still likely to go through given Paramount’s recent actions?
This all seems up in the air. Seems Washington DC is likely to get involved too (perhaps because of PSKY involvement with foreign entities), not sure 100% certain yet.

Maybe we should stop talking about WBD getting acquired as of now, because this has turned into a joke with this catfight between David Ellison and Netflix. I feel like the chances of Netflix’s acquisition of Warner Bros. going through is getting slimmer by the day, given David Ellison's hostility, Donald Trump being against it, and now this lawsuit/proxy fight by Ellison. I’m worried the merger will be put off until next year after whatever happens at this year’s midterms.
 
If neither side ultimately gets Warner Bros. Discovery, then just let WBD carry out its split in peace (with Netflix providing WBD with its promised separation fee to help WBD split into Warner Bros. and Discovery Global).
 
Not necessarily. If the U.S. president does not support the acquisition of Warner Bros. by Netflix (even if it is for reasons beyond the scope of this website), that does not necessarily mean he supports Paramount's bid to acquire all of Warner Bros. Discovery either.

Lawsuit is nothing but waste of time for everyone.

It is either cheap settlement or empty hand for Ellison.

It is just like Disney's board election - they battled for power.

Skydance's strategy to replace WBD board as part of hostile takeover isn't always work and it depends on WBD shareholders as many of them could favor ordinary WBD candidate rather than Skydance backed candidate.

Hostile takeover is not guarantee to win the game if company fight all time.

It is 50%-50%.

It is very possible for Netflix and Skydance to lose the game at same time.

Pentwater Capital Management only own like 1% of WBD.

Netflix is prepared to step up the offer if it is recommended by lawyers and Pentwater alone is not enough for Netflix lawyers to call Netflix to step up.

I'm definitely sure that Netflix is going to step up anytime soon, especially closer to board election.

No, Ellison's hostility isn't going to stop Netflix from win the acquisition of WBD, also WBD opt to fight the hostile takeover is big plus.

If WBD is passive, so you will know that Netflix would lose it, so it is not in case.

The proxy fight is very common with hostile takeover and it is not guarantee to work, so Netflix know about what they do. Give them more time.

Just take a deep breath and Netflix can win the game after hostile takeover gets thwarted.

Paramount in all honesty has a deadline because WBD still plans to split into separate entities when if the Netflix deal gets prolonged. WBD has gotten offers for the cable part which combined with Netflix would substitute that $108 billion from Paramount.

How you know?

Netflix has a lot of room to up the bid when timing is right.

You have to remember that corporations are very complicated, so that is very beyond for members on this forum to understand. You would have to be major shareholder for WBD to understand about what come from Netflix.

It is not over, even with one news that come from investment group that only own 1% or less.

Paramount in all honesty has a deadline because WBD still plans to split into separate entities when if the Netflix deal gets prolonged. WBD has gotten offers for the cable part which combined with Netflix would substitute that $108 billion from Paramount.
Cable assets are worthless in streaming era and Netflix could create a new linear network instead of debt ridden cable networks.

I hear Netflix is not interested in raising their bid or at least from what was stated at NYP. Paramount is wasting their time I mean they just need $32 to $34 then the company is as good as theirs and I believe they do make a fair point about Discovery Global.

I told you - Netflix is well prepared for fighting against Ellison.

Netflix is warrior and as for members in here, just sit, watch and relaxed.

NYP article is opinion and they just assume on corporation’s behavior.
 
well, paramount lawsuit got rejected, so, that's what they get, now all they have to do is to walkaway from this and netflix will get Warner bros

Skydance doesn’t want to raise their bid, because they don’t wanna get into financial trouble.

David Ellison is very narcissistic and they don't want to be loser with businesses.

Netflix is playing smart - it means slow path to victory.

Everyone applause these two characters, for soon getting their own spin-off full animated series!!! (who would have expected a series with PB and Marceline anyway? I know they have an upcoming comic book series which will go well with)

Watched Toy Story 5 today. It felt like another awesome escapade for the characters, while also they taught an important lesson: it's ok to be different, especially if you still like to play with toys. Lily turned from an antagonist to a hero of the movie, because of realising exactly that.
